1. Introduction
Welcome to SwiftPay Technologies Group Ltd. These Terms & Conditions govern your use of our website, products, and services. By using our services, you agree to these terms in full.
SwiftPay Technologies Group Ltd is registered in Ireland with its registered office at Heatherview Business Park, 1A Athlone Road, N39 KD82, Dublin, Ireland.
2. Definitions
"Service" means the payment processing platform, virtual and physical card services, analytics tools, and any other products or services provided by SwiftPay Technologies Group Ltd.
"User" means any individual or entity that registers for or uses the Service.
"Account" means the user account created to access the Service.
3. Eligibility
By using our services, you represent that you are at least 18 years old and have the legal capacity to enter into binding contracts. Businesses must be duly registered in their jurisdiction of operation.
4. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
SwiftPay reserves the right to suspend or terminate accounts that provide false information, violate these terms, or engage in fraudulent or illegal activities.
5. Fees and Payments
All fees are clearly displayed before you subscribe to any paid plan. SwiftPay reserves the right to modify its fees with 30 days prior notice. Late payments may result in service suspension until the outstanding balance is paid in full.
All fees are non-refundable except as expressly stated in our refund policy. Currency conversion fees may apply for transactions in non-default currencies.
6. Card Services
Virtual and physical cards issued by SwiftPay are subject to additional terms provided at the time of card issuance. Cards may only be used for lawful transactions, and SwiftPay may block or reverse any transaction that appears fraudulent or in violation of these terms.
Cardholders are responsible for all transactions made with their cards. Lost or stolen cards must be reported immediately to limit liability.
7. Privacy and Data Protection
SwiftPay collects, processes, and stores personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). We implement appropriate technical and organisational measures to protect your data.
We do not sell your personal information to third parties. Data retention periods are determined by legal and regulatory requirements.
8. Prohibited Uses
You agree not to use SwiftPay's services for any illegal activities, money laundering, terrorist financing, fraud, or any other activity that may harm SwiftPay's reputation or operations. Violation of this clause may result in immediate account termination and legal action.
Prohibited activities include but are not limited to: unauthorised access to systems, distribution of malware, phishing, intellectual property infringement, and any activity that violates applicable export control laws.
9. Limitation of Liability
SwiftPay Technologies Group Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability is limited to the amount you have paid to SwiftPay in the 12 months preceding the claim.
Nothing in these terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
10. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of Ireland. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
11. Changes to Terms
SwiftPay reserves the right to update or modify these Terms & Conditions at any time. Users will be notified of material changes via email or through our platform. Continued use of our services after changes take effect constitutes acceptance of the revised terms.

13. Intellectual Property
All intellectual property rights in the SwiftPay platform, including software, trademarks, logos, and content, are owned by SwiftPay Technologies Group Ltd or its licensors. You may not reproduce, modify, distribute, or create derivative works without prior written consent.
14. Termination
Either party may terminate this agreement at any time. Upon termination, your access to SwiftPay services will cease, and you must settle any outstanding balances.
Sections relating to Intellectual Property, Limitation of Liability, Governing Law, and General Provisions shall survive termination of this agreement.
15. Indemnification
You agree to indemnify and hold harmless SwiftPay Technologies Group Ltd, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses arising from your use of the services, violation of these terms, or infringement of any third-party rights.
16. Force Majeure
SwiftPay shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, or internet disruptions.
17. Entire Agreement
These Terms & Conditions, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and SwiftPay Technologies Group Ltd regarding the use of our services, superseding any prior agreements or understandings.
18. Waiver and Severability
The failure of SwiftPay to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
If any provision of these terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
